1. Acceptance of Terms

By registering, accessing, or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services. We reserve the right to modify these terms at any time, in compliance with the Information Technology Act, 2000 and subsequent amendments.

2. Vendor Accounts & KYC

• You must provide accurate, current, and complete information during the registration process.
• Vendors must comply with all mandatory KYC (Know Your Customer) verifications before participating in lead transactions.
• You are responsible for safeguarding your password and AI Security verification parameters.

3. The Wallet Lock & Commission Model

LeadGrow AI operates on a unique "Wallet Lock" model rather than an upfront purchase model:

• When you engage with a lead, the specified lead value is locked in your wallet, not deducted immediately.
• The deduction (settlement fee) occurs only upon successful conversion of the lead.
• If the lead expires or fails within the specified 7-day validity period, the locked amount is released back to your available balance, subject to platform review and dispute resolution guidelines.
• A standard 3% Payment Gateway fee applies to all wallet recharges.

4. User Conduct & Prohibited Activities

You agree not to engage in any of the following activities:

• Bypassing the platform's payment gateway or attempting off-platform settlements to avoid commission fees.
• Submitting fraudulent leads or engaging in deceptive practices.
• Sharing purchased lead contact details with unauthorized third parties.
• Violating any applicable local, state, national, or international law, including the IT Rules 2011.

5. Disclaimers & Limitation of Liability

LeadGrow AI acts strictly as an intermediary platform connecting buyers and sellers. We do not guarantee the final conversion of any lead. To the maximum extent permitted by applicable law, Algoguido Technologies Private Limited shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the platform.

6. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in Guwahati, Assam, India.
